Does an Invoice Need a Signature? Rules and E-Signatures

Does an invoice need a signature? See US, UK, EU, India and Pakistan rules, when an invoice signature helps, and how e-signatures and digital signing work.

By Invoice Creator Editorial Team 9 min read

Quick answer: In most countries an invoice does not need a signature to be valid. US, UK and general EU VAT rules list no signature requirement. Some regimes differ: India's GST rules require a signature or digital signature on tax invoices, except electronic ones issued under its IT Act. An invoice signature can still help as evidence.

Whether to sign an invoice is a common question for freelancers and small businesses, especially those working with international clients or customers whose accounts payable teams ask for "a signed invoice." The answer depends on where you are, what kind of invoice you issue and what your customer requires. This guide covers the general rule, country-by-country details, the difference between e-signatures and digital signatures, and practical advice on when an invoice signature is worth adding. It is general information, not legal advice; check local rules for your situation.

Does an invoice need a signature? The general rule

An invoice is a commercial document that records a sale and requests payment. Its legal and tax value comes from its contents: who is selling, who is buying, what was supplied, when, for how much and with what tax. Most invoicing laws list these required details, and most of those lists do not include a signature. Our guide to what an invoice is covers the standard elements.

That said, "not legally required" is not the same as "never needed." A signature can be required by:

  • A country's tax rules for certain invoices, as in India.
  • Your customer's internal procedures, such as government agencies or large companies that ask for signed or certified invoices.
  • A contract that says invoices must be signed or certified by an authorized person.
  • Specific transactions, such as export documents or bank collections, where the receiving party sets its own document rules.

Invoice signature rules by country

The table below summarizes the general position in several countries. Rules change and have exceptions, so treat it as a starting point and confirm with an accountant or the official source.

JurisdictionIs a signature generally required?Notes
United StatesNo federal invoice signature requirementInvoice contents are mostly set by contracts and state sales tax rules. Electronic signatures generally have legal effect under the ESIGN Act and state UETA laws.
United KingdomNoGOV.UK's list of what an invoice must include does not mention a signature; VAT invoices have their own detailed field list.
European UnionNo general requirementThe VAT Directive lists required invoice details without a signature. Businesses must ensure authenticity of origin, integrity of content and legibility, which can be done through business controls.
India (GST)Yes for tax invoices, with an exceptionRule 46 of the CGST Rules requires the signature or digital signature of the supplier or authorized representative, except for invoices issued electronically under the Information Technology Act, 2000.
Pakistan (sales tax)Check current FBR rulesSection 23 of the Sales Tax Act sets tax invoice contents. FBR's digital invoicing rollout is moving many registered persons to system-generated invoices; verify requirements for your category.
Other countriesVariesSome countries require stamps, seals or certified e-invoices. Check local rules or our invoice requirements by country overview.

United States

There is no federal rule saying an invoice must be signed. What makes an invoice enforceable is usually the underlying agreement, such as a contract, accepted quote or purchase order, plus evidence that you delivered. Electronic signatures are broadly recognized under the federal ESIGN Act and state versions of the Uniform Electronic Transactions Act, which matters more for contracts than for invoices.

United Kingdom

GOV.UK's guidance on what an invoice must include lists a unique number, business and customer details, a description, supply and invoice dates, amounts, VAT if applicable and the total, with no signature. VAT-registered businesses have extra fields, explained in our VAT invoice guide, but a signature is not one of them.

European Union

The EU VAT Directive (Council Directive 2006/112/EC) sets out the details a VAT invoice must contain, and a signature is not among them. Instead, businesses must ensure the authenticity of origin, integrity of content and legibility of invoices, which can be done through business controls that create a reliable audit trail. Earlier rules leaned more heavily on advanced electronic signatures for e-invoices, and member states may still accept them as one method. National e-invoicing mandates add their own technical rules.

India

India is the main exception among large economies. Rule 46(q) of the CGST Rules lists "signature or digital signature of the supplier or his authorised representative" as a required detail of a tax invoice. A proviso says the signature is not required for an invoice issued electronically in accordance with the Information Technology Act, 2000. In practice, that means:

  • A printed or paper tax invoice should carry a physical signature or be digitally signed.
  • An electronic invoice that meets the IT Act route, such as a properly digitally signed PDF or an e-invoice generated through the official system, does not need a separate handwritten signature.
  • Many practitioners caution that pasting a scanned image of a signature into a PDF is not a digital signature. This is a professional view rather than a formal ruling, so confirm with your GST adviser.

Pakistan

Pakistan's Sales Tax Act, 1990 (section 23) and FBR rules set tax invoice contents for registered persons. FBR has been rolling out digital invoicing integrated with its systems, under which invoices carry an FBR invoice number and QR code. Requirements depend on your category and change through notifications, so check the latest FBR guidance and our overview of FBR e-invoicing in Pakistan.

E-signatures vs digital signatures on invoices

These terms are often used interchangeably, but they are not the same.

  • Electronic signature (e-signature): any electronic indication that a person intends to sign. A typed name, a drawn signature, an uploaded image of a handwritten signature or clicking "I accept" all count.
  • Digital signature: a specific technical form of e-signature that uses a certificate and cryptography. It identifies the signer and shows whether the document has been changed since signing. Viewing software can verify it.
  • Image signature: a picture of your signature placed on the invoice. It shows who authorized the invoice visually, but it is not cryptographically bound to the document.

When a rule says "digital signature," an image usually does not satisfy it. When no rule requires a signature, an image is a reasonable professional touch.

When signing an invoice helps

  • Customer or contract requirements. Some buyers, including public bodies, ask for invoices signed by an authorized person.
  • Proof of authorization. A named signatory shows the invoice was approved, which can reassure customers wary of invoice scams and fake supplier emails.
  • Proof of delivery or acceptance. A customer signature on a work completion note or delivery slip can help if payment is later disputed.
  • Bank or trade documents. Letters of credit and some export procedures may require signed commercial invoices if the credit terms say so.
  • Professional presentation. Some industries expect it, particularly in regions where stamps and signatures are customary.

Worked example: deciding whether to sign

An illustrative case: a design studio in Bengaluru, registered for GST, bills three clients in one month.

  1. Client A, an Indian company, invoice value ₹1,18,000 including 18% GST. The taxable value is ₹1,18,000 ÷ 1.18 = ₹1,00,000, and GST is ₹1,00,000 × 0.18 = ₹18,000. This is a GST tax invoice, so rule 46 applies: the studio signs the printed copy or applies a digital signature to the PDF.
  2. Client B, a UK company, services worth £2,000. The UK client does not need a signature for its own records, but the Indian export invoice is still governed by Indian GST rules, so the studio applies its digital signature to the PDF as well.
  3. Client C, a US startup, $3,500. The client's accounts payable team asks for a "signed invoice." The digitally signed PDF already meets this.

The simplest approach for this studio is to digitally sign every invoice, which satisfies the strictest requirement it faces. A US freelancer with only US clients, by contrast, may never need to sign at all.

How to sign an invoice

  1. Decide if you must sign. Check your country's rules, your contract and the customer's supplier instructions.
  2. Choose the method. Handwritten signature on paper, an image on the PDF, or a certificate-based digital signature.
  3. Add the signatory's name and role. For example, "Authorized signatory: Priya Shah, Director."
  4. Sign the final version only. A digital signature should be applied after all edits; any later change invalidates it.
  5. Send in a way that preserves the signature. Email the signed PDF as-is; see our guide on how to send an invoice.
  6. Keep the signed copy. Store it with your invoice records for the required retention period.

Common mistakes with invoice signatures

  • Assuming an image equals a digital signature. They are legally and technically different.
  • Treating a signature as a substitute for required fields. A signed invoice missing a tax ID or invoice number is still incomplete.
  • Signing before final edits. Digitally signed files must not be edited afterward.
  • Letting unauthorized staff sign. Only people with authority should sign on the business's behalf.
  • Relying on a customer signature for payment terms. Agree terms in a contract or accepted quote instead.
  • Ignoring the customer's instructions. If accounts payable asks for a signed invoice, an unsigned one may sit in a queue.

Invoice signature checklist

  • I know whether my country's tax rules require a signature or digital signature.
  • I have checked contracts and customer supplier instructions.
  • All required invoice fields are complete before signing.
  • The signatory is authorized, and their name and role are shown.
  • I use a digital signature where the law specifically requires one.
  • The signed PDF is sent and archived without further edits.

Adding a signature with our invoice generator

The free invoice generator lets you upload a signature image alongside your logo, so it appears on the PDF with your line items, tax, discount and totals. That covers the common case where a visible signature is optional or requested. It is not a certificate-based digital signature; if your rules require one, download the PDF and sign it with a certified digital signature tool before sending. The generator builds the PDF in your browser and does not send it or track payment. The user guide explains where the signature upload sits. Frequently asked questions

Is an invoice valid without a signature?

In most countries, yes. In the US and UK, and under the general EU VAT invoicing rules, a signature is not on the list of required invoice details. An invoice is valid when it contains the required information, such as the seller, buyer, date, number, description and amounts. Some countries and some customers do require a signature, so check local rules and your client's accounts payable requirements.

Does a GST invoice in India need a signature?

Rule 46 of the CGST Rules lists the signature or digital signature of the supplier or an authorized representative among the required details of a tax invoice. A proviso removes this requirement for an invoice issued electronically in accordance with the Information Technology Act, 2000. Many practitioners caution that a pasted scanned signature is not the same as a digital signature, so confirm your method with a GST professional.

Who should sign an invoice?

If you sign, the person signing should be the business owner or someone authorized to issue invoices on the business's behalf, such as a director, partner, finance manager or accountant. Print their name and role under the signature. A customer signature is different: it acknowledges receipt of goods or acceptance of work, and is more common on delivery notes and work orders than on invoices.

Is a scanned or image signature legally valid on an invoice?

Where no signature is required, adding an image of your signature is a harmless presentation choice that shows authorization. Where a law requires a digital signature, an image may not satisfy it, because a digital signature is cryptographically linked to the document and the signer. In the US, the ESIGN Act generally gives electronic signatures legal effect, but specific invoicing rules can still set additional requirements.

What is the difference between an e-signature and a digital signature?

An electronic signature is any electronic sign of intent, such as a typed name, a drawn signature or a click on an accept button. A digital signature is a specific type of electronic signature that uses a certificate and cryptography to prove who signed and that the file has not changed since. Some tax rules, such as India's GST rule, refer specifically to digital signatures.

Should the customer sign the invoice?

Usually not. A customer signature on an invoice is mostly used as proof that goods were delivered or work was accepted, for example by tradespeople who collect a signature on site. Payment terms are better agreed in a signed contract or accepted quote before the work starts. If you need proof of delivery for goods, a signed delivery note or packing slip is the more common document.

Does an e-invoice need a signature?

It depends on the system. Many e-invoicing frameworks rely on authenticated platforms, digital signatures applied by the system, or clearance by the tax authority rather than a handwritten signature. India removes the signature requirement for invoices issued electronically under its IT Act, and EU rules let businesses prove authenticity and integrity through business controls. Follow the specific technical rules in your country.

Can I add a signature in the free invoice generator?

Yes. Our invoice generator lets you upload a signature image, which appears on the PDF invoice along with your logo, line items and totals. This is an image, not a certificate-based digital signature, so it is suitable where a signature is optional or a visible signature is requested. If your jurisdiction requires a digital signature, sign the downloaded PDF with a certified digital signature tool.
