Proprietorship Firm Registration in India: Steps and Documents

Proprietorship firm registration in India explained: why no single registration exists, the GST, Udyam and shop licences that prove your firm, costs and steps.

By Invoice Creator Editorial Team 10 min readApplicable jurisdiction: India

Quick answer: Proprietorship firm registration in India is not a single process. No central law registers sole proprietorships, so the firm is identified by the owner's PAN and proves itself through other registrations: usually Udyam (free), a state shop and establishment licence, and GST once turnover crosses the threshold. Two of these normally let you open a current account in the firm's name.

Sole proprietorship is the most common way Indians start a business because it needs almost no setup. That simplicity also causes confusion: people search for proprietorship firm registration, find dozens of paid services and assume there is a certificate they are missing. There is not. This guide explains what a proprietorship really is, which registrations make it official in practice, what each one costs, a step-by-step sequence to follow, and how to start invoicing properly from day one with our free invoice generator.

Note: This article is general information, not legal or tax advice. Local rules, particularly shop and establishment laws, differ from state to state.

What is a proprietorship firm?

A sole proprietorship is a business owned and run by one individual with no legal separation between the owner and the business. In practice that means:

  • The business uses the owner's PAN for income tax.
  • Profit is taxed as the owner's income in their personal return.
  • The owner has unlimited personal liability for business debts.
  • The firm ends when the owner closes it or dies; it cannot be sold as an entity, only its assets.

A trade name such as "Sharma Design Studio" is just a label the proprietor trades under. Contracts, invoices and bank accounts can use the name, but legally the counterparty is Mr or Ms Sharma. If you are weighing this structure against others, our sibling guide to types of business entities compares the main options, and the logic in LLC vs sole proprietorship maps closely onto India's choice between a proprietorship and an LLP.

Why there is no single proprietorship registration

Companies are incorporated under the Companies Act, 2013 and LLPs under the LLP Act, 2008, and both get a certificate of incorporation from the Ministry of Corporate Affairs. Partnerships can be registered with the state Registrar of Firms. Sole proprietorships have no equivalent statute, so there is nowhere to "incorporate" one.

Instead, the government and banks accept evidence that a business exists in your name. The Reserve Bank of India's KYC rules for banks list the kinds of documents that count as proof of a proprietary concern, and that list is effectively the menu of registrations people choose from. When a consultant sells "proprietorship registration", they are usually filing two or three of these for you.

Udyam registration

Udyam is the official MSME registration. The Udyam registration portal states that registration is free of cost and paperless, based on self-declaration with Aadhaar, PAN and, where applicable, GSTIN. It also warns that no private agency is authorised to register businesses for a fee on its behalf. Micro enterprises are currently defined as those with investment up to Rs 2.5 crore and turnover up to Rs 10 crore, limits revised from 1 April 2025. For the benefits and full process, read our Udyam registration guide rather than repeating it here.

GST registration

GST registration gives you a GSTIN, a certificate in the trade name and the right to claim input tax credit. Service providers generally must register once aggregate turnover crosses Rs 20 lakh in a financial year (Rs 10 lakh in special category states), while suppliers of only goods have a Rs 40 lakh limit in most states. Some businesses must register regardless of turnover, such as inter-state suppliers of goods and certain e-commerce sellers. Our GST registration guide covers the threshold rules, documents and timelines, and the GST composition scheme is worth reading if you are a small trader.

Shop and establishment registration

Each state has its own Shops and Establishments Act. Some require every commercial establishment to register, some exempt businesses with no employees, and many now offer online registration with instant certificates. Check your state labour department's portal; this certificate is one of the most widely accepted bank proofs.

How to register a proprietorship firm, step by step

  1. Get your personal KYC in order. You need a PAN and Aadhaar, with matching name and date of birth, and a mobile number linked to Aadhaar for OTPs.
  2. Choose a trade name. Search the Trade Marks Registry and the web to avoid names someone else already uses.
  3. Register on the Udyam portal. It takes minutes, costs nothing and gives you an e-certificate in your trade name.
  4. Get a shop and establishment registration if your state requires one, or if you need it as a second bank proof.
  5. Apply for GST registration if you cross the threshold, supply goods inter-state, sell through marketplaces, or want to claim input tax credit.
  6. Open a current account in the trade name using two of the business proofs above plus your own KYC.
  7. Add sector licences such as FSSAI or an IEC if your activity needs them.
  8. Set up invoicing and records. Decide your invoice numbering, payment terms and where you will keep bills and receipts.

Worked example: a freelance developer becomes a proprietorship

Arjun starts freelancing in Pune under the trade name "Arjun Web Labs". He bills an average of Rs 1,80,000 a month to Indian clients, all for services delivered within Maharashtra.

  • Annual turnover: Rs 1,80,000 x 12 = Rs 21,60,000.
  • GST check: Rs 21,60,000 is above the Rs 20 lakh service threshold, so he must register. At Rs 1,80,000 a month he crosses Rs 20 lakh in the twelfth month (Rs 1,80,000 x 11 = Rs 19,80,000), so he should apply before that month's invoices go out.
  • Proofs for the bank: his Udyam certificate (free) and a Maharashtra shop and establishment registration.

After registration, a typical monthly invoice for one client looks like this:

LineAmount (Rs)
Website maintenance retainer50,000
GST at 18% (CGST 9% Rs 4,500 + SGST 9% Rs 4,500)9,000
Invoice total59,000
TDS deducted by client under 194J at 10% of 50,0005,000
Net amount received in bank54,000

Arjun can enter the 18% rate as the single tax rate in our generator and note the CGST and SGST split in the notes field, then record the Rs 5,000 TDS against his PAN when he files. As a software professional with receipts under the presumptive limit, he can also look at section 44ADA presumptive taxation for his income tax.

Documents and costs for proprietorship registration

Documents checklist

Because you are registering yourself rather than a company, the paperwork is personal and light. Keep scanned copies of the following ready before you start on any portal:

  • PAN card of the proprietor. The firm has no separate PAN.
  • Aadhaar linked to an active mobile number, used for OTP verification on Udyam and GST.
  • Photograph of the proprietor in the format the GST portal asks for.
  • Proof of business address: a rent agreement with the owner's consent letter, or your own electricity bill or property tax receipt if you own the premises.
  • Bank details: a cancelled cheque or bank statement. For GST, many applicants first use a savings account and then update it to the current account once opened.
  • Activity details: a short description of what you sell, plus the HSN or SAC codes for GST.

If you work from home, a residential address is usually acceptable for Udyam and GST, but check your state's shop and establishment rules and your rental agreement before listing it as a place of business.

What proprietorship registration really costs

A lot of online offers bundle "proprietorship registration" into packages, which hides how little the government side costs. Break it down like this:

  • Udyam: free on the official portal, with no agent authorised to charge for it.
  • GST: no government fee for registration.
  • Shop and establishment: a state fee that often depends on the number of employees.
  • Trade licence and professional tax: local or state fees where they apply.
  • Professional help: optional. A chartered accountant or consultant charges for filing, monthly GST returns and the annual ITR, and that ongoing compliance is usually worth more than one-off registration help.

If you are confident with online forms, the core registrations can be done in an afternoon. Spend money on the recurring work, such as GST returns and bookkeeping, where mistakes cost more than fees.

How a proprietorship is taxed

A proprietorship does not file its own income tax return. The business profit is added to the owner's other income and taxed at individual slab rates, and the owner files ITR-3 or ITR-4 depending on whether they use regular books or a presumptive scheme. Our sibling guide on ITR for freelancers explains how to choose between them.

Key points to plan for:

  • Advance tax: payable if tax after TDS is Rs 10,000 or more. Presumptive filers can pay it in one instalment by 15 March.
  • TDS on your receipts: business clients deduct it under sections like 194J and 194C; claim it in your return.
  • TDS you deduct: once your turnover crosses the audit limits, you may have to deduct TDS on rent, contractors and professionals yourself. The TDS rate chart lists the current sections.
  • GST returns: if registered, you file GSTR-1 and GSTR-3B on schedule, explained in our GST return filing guide.

A proprietorship is the right choice when you want to start quickly and keep compliance light. Move to an LLP or company when liability, partners or outside investment become real concerns.

Invoicing as a proprietorship

Your invoice is often the first document a client sees from your firm, and it also feeds your tax returns. Include:

  • Your trade name and, where it helps clarity, "Proprietor: your name".
  • Your address, PAN and GSTIN if registered.
  • A unique, sequential invoice number. Our invoice numbering guide shows formats that survive audits.
  • The client's name, address and GSTIN for B2B supplies.
  • Description, SAC or HSN code if registered, taxable value, GST rate and amount.
  • Payment terms and bank details for the current account.

Unregistered proprietors should not charge GST at all; issue a plain invoice without tax. If you are registered under composition, the bill of supply replaces the tax invoice.

Common mistakes to avoid

  • Paying an agent for Udyam registration. The portal is free and says no agency is authorised to charge for it.
  • Charging GST before you are registered. You cannot collect tax without a GSTIN.
  • Mixing personal and business money. A separate current account makes tax filing and audits simpler.
  • Assuming a trade name is protected. Only a trademark registration gives exclusive rights.
  • Ignoring state rules. Shop and establishment and professional tax obligations vary by state.

Start invoicing as a registered proprietorship

Proprietorship firm registration in India comes down to a few targeted registrations, not a single certificate: Udyam, a state shop licence where needed, and GST once you cross the threshold. With those in place and a current account in your trade name, the last piece is professional invoicing. Use our free invoice generator to add your trade name, PAN and GSTIN, choose a layout such as the classic invoice template, and send your first invoice today. When your invoice looks right, download it as a PDF and send it straight to your client.

Frequently asked questions

Is there a registration certificate for a proprietorship firm in India?

No single certificate exists. India has no central law that registers sole proprietorships the way the Companies Act registers companies or the LLP Act registers LLPs. A proprietorship is identified by the owner's PAN, and it proves its existence through registrations it holds for other reasons, such as GST, Udyam, a shop and establishment licence, or a trade licence from the local municipality.

Which registrations does a proprietorship firm need?

It depends on the business. Most firms get Udyam registration because it is free, and a shop and establishment registration if they have premises in a state that requires it. GST registration is required once turnover crosses the threshold or in cases like inter-state supply of goods. Some activities also need sector licences, such as FSSAI for food or an import export code for cross-border trade.

How much does proprietorship registration cost in India?

Government fees can be very low. Udyam registration is free on the official portal, and there is no government fee for GST registration. Shop and establishment fees vary by state and by number of employees. Most of the cost people pay comes from consultants who file the forms, so if you are comfortable with online portals you can complete the core registrations yourself at little or no cost.

Can I open a current account for a proprietorship firm?

Yes. Banks follow RBI know-your-customer rules that ask for proof of the business in the firm's name in addition to the proprietor's own KYC. Commonly accepted proofs include a GST certificate, an Udyam certificate, a shop and establishment registration, a municipal trade licence and tax returns showing business income. Banks usually ask for two such documents, so plan your registrations with that in mind.

Is a proprietorship firm a separate legal entity?

No. The firm and the owner are legally the same person. The business uses the proprietor's PAN, its income is taxed in the proprietor's personal return, and the owner is personally liable for all business debts. A trade name is just a label. If you need limited liability or plan to raise investment, an LLP or private limited company is the usual next step.

Do I need GST registration for a proprietorship?

Only if a trigger applies. Service providers generally must register once aggregate turnover crosses Rs 20 lakh in a year, or Rs 10 lakh in special category states, and the limit for goods-only suppliers is Rs 40 lakh in most states. Some businesses must register regardless of turnover, such as those making inter-state supplies of goods or selling through e-commerce operators that collect tax.

How is a proprietorship taxed in India?

The profit is added to the proprietor's other income and taxed at individual slab rates in their personal return, usually ITR-3 or ITR-4. Professionals can use section 44ADA, which treats 50% of receipts as profit, and small traders and service businesses can use section 44AD. There is no separate business income tax return for the firm, and no tax on withdrawing profit.

Can I register a trade name for my proprietorship?

You can trade under any name that does not infringe someone else's rights, and the name appears on your GST, Udyam and shop registrations. These do not give you exclusive rights to the name, though. If the brand matters, file a trademark application with the Trade Marks Registry, which protects the name for the classes of goods or services you register.
