Udyam Registration: MSME Certificate, Limits and Steps
Udyam registration explained: who can apply, MSME classification limits from April 2025, documents, the step-by-step process and how to use your certificate.
Quick answer: Udyam registration is India's free, online, paperless registration for micro, small and medium enterprises. You register on the official Udyam portal using an Aadhaar number and the business PAN, and the system pulls turnover and investment data from tax records. You receive a permanent Udyam certificate with your MSME category, and there is no renewal.
If you run a small business or freelance practice in India, a Udyam certificate is one of the cheapest and most useful documents you can have. Banks ask for it, government tenders ask for it, and large buyers ask for it during vendor onboarding because it changes how fast they must pay you. This guide explains who qualifies, the MSME classification limits that apply from April 2025, the step-by-step MSME registration process, and how to use the certificate on your invoices.
Note: This is general information, not legal or tax advice. The portal, limits and benefits are set by the Ministry of MSME and can change. Check the official Udyam portal and speak to a qualified adviser for decisions that matter to your business.
What is Udyam registration?
Udyam registration replaced the older Udyog Aadhaar Memorandum (UAM) and EM-II filings from 1 July 2020. It is the official way to register as a micro, small or medium enterprise under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006. Key features, according to the official portal:
- Free: no fee is payable to anyone.
- Online and paperless: based on self-declaration, with no documents uploaded.
- Aadhaar-based: only an Aadhaar number is needed to start, plus PAN for the enterprise.
- Linked to tax data: investment and turnover are pulled from income tax and GST records.
- Permanent: no renewal, though you should keep details updated.
- One per enterprise: a single registration covers all your activities, manufacturing, services or both.
The portal warns users to beware of fake sites. Only the government Udyam portal and government single window systems are authorised to register MSMEs.
MSME classification limits from 1 April 2025
Classification uses two tests together: investment in plant and machinery or equipment, and annual turnover. The government revised the limits by notification dated 21 March 2025, effective 1 April 2025. Investment limits went up 2.5 times and turnover limits doubled.
| Category | Investment in plant, machinery or equipment | Annual turnover | Previous limits (2020) |
|---|---|---|---|
| Micro | Up to Rs 2.5 crore | Up to Rs 10 crore | Rs 1 crore / Rs 5 crore |
| Small | Up to Rs 25 crore | Up to Rs 100 crore | Rs 10 crore / Rs 50 crore |
| Medium | Up to Rs 125 crore | Up to Rs 500 crore | Rs 50 crore / Rs 250 crore |
A few rules that trip people up:
- Both tests count. If you cross either limit for your category, you move up. You only move down when you fall below both limits.
- Export turnover is excluded when calculating turnover, which helps exporters and freelancers with foreign clients.
- Investment is based on your income tax return, broadly the written-down value of plant, machinery or equipment, not land and buildings.
- Same limits for manufacturing and services. The old split between the two was removed in 2020.
Parliament passed the MSME Development (Amendment) Bill, 2026 in August 2026, and reports say it touches classification and registration as well as delayed payments. At the time of writing we had not seen its provisions notified into force, so the limits above still apply. Check the Udyam portal for any update.
Worked example: which category are you?
Priya runs a small design studio. Her ITR shows equipment with a written-down value of Rs 18 lakh. Turnover last year was Rs 1.4 crore, of which Rs 60 lakh came from clients abroad. Excluding exports, her turnover for classification is Rs 80 lakh. Both figures are well within the micro limits, so she is a micro enterprise.
Rahul manufactures packaging with machinery worth Rs 4 crore and domestic turnover of Rs 9 crore. His turnover fits micro, but his investment is over Rs 2.5 crore, so he is a small enterprise.
Who can apply for Udyam registration?
Any enterprise engaged in manufacturing or providing services can register, whatever its legal form:
- Sole proprietors, including freelancers and consultants
- Partnership firms and LLPs
- Private and public limited companies
- Hindu Undivided Families (HUFs), cooperatives, societies and trusts
Retail and wholesale traders were allowed onto Udyam in 2021, but only for priority sector lending. They do not get all MSME benefits, notably the delayed payment protection. Very small informal businesses without GST or PAN-based records can use the separate Udyam Assist Platform, which treats them as micro enterprises.
Documents and details you need
| Item | Who provides it | Notes |
|---|---|---|
| Aadhaar number | Proprietor, managing partner, karta or authorised signatory | OTP goes to the mobile linked to Aadhaar |
| PAN | The enterprise | Mandatory from 1 April 2021 |
| GSTIN | The enterprise, where GST registration is mandatory | See our GST registration guide if you are not sure |
| Bank account details | The enterprise | Account number and IFSC |
| NIC activity codes | You choose on the portal | Pick every activity you actually carry on |
| Address, units, employees | You enter | Plant or office locations and staff numbers |
How to register: step-by-step MSME registration
- Go to the official portal at udyamregistration.gov.in. Do not use look-alike sites that charge fees.
- Choose the option for new entrepreneurs not yet registered as MSME. Holders of old UAM registrations choose the re-registration route instead.
- Enter Aadhaar and name of the proprietor or authorised person and validate with the OTP.
- Select the type of organisation and enter the PAN. The portal validates it and fetches ITR and GST details where available.
- Fill in the business details: name of enterprise, plant or unit locations, official address, date of incorporation and commencement, bank details, NIC codes, employees, and investment and turnover figures where they are not auto-filled.
- Submit and verify with the final OTP.
- Download your Udyam certificate from the portal once it is issued. It shows a number in the format UDYAM-XX-00-0000000, your category and your activities.
Screen labels change, so follow what the portal shows on the day. Most small businesses finish in one sitting.
Benefits of a Udyam certificate
- Faster payment rights: micro and small suppliers are protected by the MSMED Act's payment deadlines and compound interest on delays. Our guide to the MSME 45 days payment rule explains how this works.
- Buyer tax incentive: buyers who pay registered micro and small suppliers late can lose their income tax deduction until they actually pay, under the rule that used to be section 43B(h) and now sits in the Income Tax Act 2025.
- Priority sector lending and access to collateral-free credit guarantee schemes through banks.
- Public procurement preference: central government buyers have a target to procure a share of goods and services from micro and small enterprises, and tenders often waive earnest money for them.
- Dispute resolution: access to the MSME Facilitation Council process and the government's online dispute resolution portal for delayed payments.
Using your Udyam number on invoices
Your certificate only helps if buyers know about it. Add your Udyam number and category to your invoices, quotations and vendor forms, alongside your GSTIN. Put your agreed payment terms in writing too, because the statutory clock depends on them. Our guide to invoice payment terms covers wording.
A clear invoice for an Indian MSME typically shows:
- Your business name, address, GSTIN and Udyam number with category (micro or small)
- A unique, sequential invoice number; our invoice number generator helps you set a format
- Buyer details, including their GSTIN for B2B supplies
- Item descriptions with HSN or SAC codes, quantities and rates
- GST at the correct rate, as covered in our GST invoice guide
- Payment terms, for example "Payment due within 30 days of acceptance. Supplier is a registered micro enterprise under the MSMED Act."
You can build this in our free invoice generator by adding your Udyam number in the business details or notes. It supports one tax rate per invoice, a PO number and notes and terms. It does not create GST e-invoices with an IRN, so if you are above the e-invoicing threshold you need an IRP-connected system. Templates such as our invoice templates give you a clean starting layout. More guides for growing businesses are in our business finance category.
Udyam registration vs GST registration
People often confuse the two because both are online and both use PAN. They do different jobs, and many small businesses need both.
| Point | Udyam (MSME) | GST |
|---|---|---|
| Purpose | Recognises you as a micro, small or medium enterprise | Lets you collect and pay GST and claim input credit |
| Mandatory? | Voluntary, but needed for MSME benefits | Mandatory above turnover thresholds and in some other cases |
| Fee | Free | Free |
| Ongoing filings | None, beyond keeping details current | Regular returns |
| Number on invoices | Optional but useful | GSTIN is a required invoice field |
A business that is not required to register for GST can still get a Udyam certificate using PAN, and very small informal businesses can use the Udyam Assist Platform. If you are deciding between GST schemes, our guide to the GST composition scheme explains the simpler option for small sellers.
Updating, upgrading and cancelling your Udyam registration
Your Udyam registration is permanent, but the information in it is not frozen. Three situations come up often.
- Your business grows. The portal uses ITR and GST data to update classification. If you cross a limit, you move to the next category. Upward changes generally take effect from 1 April of the following financial year, so a micro enterprise that crosses Rs 10 crore turnover during a year is not reclassified overnight.
- Your details change. New address, new unit, new activity, new bank account: log in to the portal with your Udyam number and the OTP on your registered mobile, and edit the relevant section. Keep the downloaded certificate current, because buyers and banks look at the date and the category.
- You close the business. Use the cancel option on the portal. Do not leave an old registration active for a business that no longer trades, and do not register a new enterprise using an old certificate.
Check your certificate once a year, ideally after you file your income tax return, so that what buyers see matches your latest figures.
Common Udyam registration mistakes
- Paying a fake portal. Registration is free on the government site.
- Registering twice. Only one registration per enterprise is allowed; add activities and units to the existing one.
- Choosing only one NIC code when you do several things. Missing activities can cause problems with tenders and lenders.
- Ignoring old UAM numbers. Re-register on Udyam; the old memorandum is not enough now.
- Not telling buyers. The payment protection works best when your Udyam status is on every invoice and vendor form.
Conclusion
Udyam registration takes less than an hour, costs nothing, and gives micro and small businesses real leverage: payment deadlines, interest on late payment, better access to credit and a foot in the door for government work. Register on the official portal, keep your details current, and put your Udyam number on every invoice. Frequently asked questions
Is Udyam registration free?
Yes. The official Udyam portal states that registration is completely free and that no fee is payable to anyone. Many private websites look official and charge for 'MSME registration', sometimes thousands of rupees, for something you can do yourself in under an hour. The government portal warns against fake sites. Only udyamregistration.gov.in and the government's single window systems are authorised to register enterprises.
What documents are needed for Udyam registration?
No documents are uploaded. Registration is based on self-declaration and needs the Aadhaar number of the proprietor, managing partner, karta or authorised signatory, plus the PAN of the enterprise. Since 1 April 2021, PAN and GSTIN, where GST registration is mandatory, are needed, and the portal pulls investment and turnover data from income tax and GST records. Keep your bank details, NIC activity codes, address and employee numbers ready to fill in.
What are the current MSME classification limits?
From 1 April 2025, a micro enterprise has investment in plant, machinery or equipment up to Rs 2.5 crore and turnover up to Rs 10 crore. A small enterprise has up to Rs 25 crore investment and Rs 100 crore turnover. A medium enterprise has up to Rs 125 crore investment and Rs 500 crore turnover. Both tests apply together. The same limits apply to manufacturing and service businesses, and export turnover is excluded.
Does a Udyam certificate need renewal?
No. The Udyam portal says registration is permanent and does not need renewal. What you do need to do is keep your details current. Classification is updated using income tax and GST data, and you can update or cancel the registration by logging in to the portal. If your investment or turnover changes, check that your category on the certificate still reflects the latest position.
Can freelancers and service providers get Udyam registration?
Yes. Udyam covers enterprises engaged in manufacturing, services or both, and that includes sole proprietors providing professional or freelance services. You register using your own Aadhaar and PAN, choose the relevant NIC codes for your services, and your classification is based on investment and turnover. For most freelancers that means micro category. Registration can help with bank loans, government tenders and protection against delayed payment by buyers.
Can traders register on Udyam?
Retail and wholesale traders can register on Udyam, following a government decision in 2021, but that inclusion is for priority sector lending purposes. Traders do not get every MSME benefit. In particular, the delayed payment protections in chapter V of the MSMED Act are generally understood not to apply to trading activity. If you trade and also manufacture or provide services, register all activities and check which benefits apply.
What is the Udyam Assist Platform?
The Udyam Assist Platform is a separate route for informal micro enterprises that do not have GST registration or PAN-based records, such as many very small shops and home businesses. Registration is facilitated through designated agencies, including banks and other intermediaries, and the certificate treats the business as a micro enterprise for priority sector lending. Businesses that later register for GST can move to the main Udyam portal.
Should I put my Udyam number on my invoices?
It is a good idea if you are a micro or small enterprise. Showing your Udyam number and category on invoices, quotations and purchase orders tells buyers that the MSMED Act payment rules apply, which can encourage faster payment and helps their accounts team with tax and MCA reporting. It is not a mandatory invoice field under GST law, but many buyers now ask for it during vendor onboarding.
What happens if I registered under the old Udyog Aadhaar (UAM)?
Old Udyog Aadhaar Memorandum (UAM) and EM-II registrations are not valid by themselves now. The Udyam portal asks holders of those registrations to re-register on the Udyam portal. The process uses the same Aadhaar and PAN-based form, and you can usually link your old UAM number during registration. Do it before a buyer, bank or tender asks for your Udyam certificate.
